Agreement to Terms

By accessing or using https://omnimediaonline.com (“Website”) or purchasing services from Omni Media (“Company”), you agree to be legally bound by these Terms of Service. These Terms constitute a binding agreement enforceable to the fullest extent permitted by law.

Services

Omni Media provides website design, development, hosting and digital marketing services. All services may be governed by separate proposals, statements of work (SOW), or written agreements, which are incorporated by reference into these Terms.

Payments, Final Sale & No Refund Policy

ALL SALES ARE FINAL. All payments made to Omni Media are NON-REFUNDABLE under any circumstances. By submitting payment, Client acknowledges and agrees that services are custom, time-based, and begin immediately. Client expressly waives any right to initiate chargebacks, reversals, or payment disputes.

Chargebacks & Dispute Enforcement

In the event of a payment dispute or chargeback, Client agrees that Omni Media may present this agreement, along with any potential records of work performed, communications, timestamps, and delivery evidence as proof of service fulfillment. Client agrees that initiating a chargeback without prior written attempt to resolve constitutes a breach of this agreement.

Service Termination (30-Day Notice Required)

Client must provide a minimum of thirty (30) days’ written notice to terminate any ongoing or recurring services. Services and billing will continue during this notice period. Failure to provide proper notice does not relieve Client of payment obligations.

Rates & Pricing Changes

Omni Media reserves the right to modify pricing, rates, and service fees at any time. Updated pricing will apply to new services, renewals, or continued use after notice of such changes.

Scope of Work & Change Orders

Services are limited strictly to the scope outlined in the agreed proposal. Any additional work, revisions beyond reasonable limits, or changes in project direction constitute out-of-scope work and may require additional fees and timeline adjustments.

Client Responsibilities & Legal Compliance

Client is solely responsible for ensuring full compliance with all applicable local, state, federal, and international laws, including but not limited to taxes, tariffs, consumer protection laws, privacy laws, and regulations related to internet and electronic commerce.

Indemnification

Client agrees to indemnify, defend, and hold harmless Omni Media, its owners, employees, contractors, affiliates, and agents from and against any and all claims, demands, liabilities, damages, losses, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Client’s business operations; (b) Client’s website content, products, or services; (c) Client’s failure to comply with any law, tax, or tariff obligation; or (d) Client’s use of internet-based commerce.

Limitation of Liability

To the fullest extent permitted by law, Omni Media shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, even if advised of the possibility of such damages.

Third-Party Services Disclaimer

Omni Media may utilize or integrate third-party services (including hosting providers, plugins, analytics tools, and payment processors). Omni Media is not responsible for the performance, uptime, policies, or failures of any third-party service.

Intellectual Property

All materials, designs, code, and content created by Omni Media remain the intellectual property of Omni Media until full payment is received. Upon full payment, ownership of final deliverables is transferred to Client, excluding any proprietary tools, frameworks, or pre-existing materials.

Termination by Omni Media

Omni Media reserves the right to suspend or terminate services at any time without liability for reasons including but not limited to non-payment, breach of Terms, abusive conduct, or unreasonable demands.

Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States. Any disputes shall be resolved exclusively in the courts located within the State of Michigan.

Changes to Terms

Omni Media reserves the right to update or modify these Terms at any time. Continued use of the Website or services after such changes constitutes acceptance of the revised Terms.

Entire Agreement

These Terms, together with any proposals or agreements, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
